Effective Date: 31 August 2026
1. Introduction and acceptance of terms
These Terms of Service ("Terms") govern the provision of services by Northlight VFX Studio Ltd, a visual-effects studio operating from Northlight VFX, 2-4 Great Marlborough Street, London W1F 7HF, United Kingdom ("Northlight VFX Studio Ltd", "we", "us", or "our"), to clients, users, and any other persons or entities receiving or using our services ("you" or "Client").
By requesting, commissioning, accessing, or using any of our services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.
These Terms apply to all services provided by Northlight VFX Studio Ltd, including without limitation the services described in Section 2, any statements of work, proposals, quotations, invoices, emails, or other written or electronic communications that reference or incorporate these Terms.
2. Scope of services
Northlight VFX Studio Ltd provides visual-effects and related creative services, which may include the following:
- Compositing and clean-up
- CGI integration
- Motion graphics and title design
- 2D and 3D animation
- Rotoscoping and tracking
- VFX supervision and pipeline support
The exact scope, deliverables, schedule, technical specifications, revision limits, and milestones for any project will be set out in a quotation, proposal, statement of work, purchase order, or other agreed written document ("Project Agreement"). In the event of any conflict between these Terms and a Project Agreement, the Project Agreement will prevail to the extent of the conflict.
Unless expressly agreed otherwise in writing, all services are provided on a project-by-project basis and do not create any exclusive relationship, continuing obligation, or commitment for future work.
3. User obligations and responsibilities
You agree that you will:
- Provide accurate, complete, and timely information, materials, references, footage, scripts, assets, and approvals necessary for the performance of the services;
- Ensure that you have all rights, permissions, licenses, and clearances required for any materials supplied to us, including footage, music, logos, trademarks, likenesses, third-party assets, and confidential information;
- Review work promptly and provide consolidated feedback and approvals within the timeframes reasonably requested by us;
- Cooperate reasonably with us to avoid delays, including responding to queries and attending review meetings where necessary;
- Use deliverables only in accordance with the agreed Project Agreement, applicable law, and any usage restrictions communicated by us;
- Not request or require us to create, edit, or deliver content that is unlawful, defamatory, infringing, obscene, misleading, discriminatory, or otherwise inappropriate;
- Maintain appropriate security over passwords, access credentials, and shared systems provided to you, if any.
You are solely responsible for the legal adequacy, accuracy, and suitability of any final content distributed, published, broadcast, or otherwise used by you, unless otherwise expressly agreed in writing.
We may rely on information and materials supplied by you without independent investigation and shall not be liable for errors, omissions, or delays arising from incorrect or incomplete instructions, assets, or approvals provided by you.
4. Payment terms and conditions
Fees for services will be set out in the relevant Project Agreement or invoice. Unless otherwise agreed in writing, all amounts are stated exclusive of applicable taxes, duties, and charges, which shall be payable by you in addition where applicable.
- We may require an upfront deposit or advance payment before commencement of work.
- Invoices are payable within the period stated on the invoice or, if no period is stated, within 14 days of the invoice date.
- We may suspend work if any payment is overdue, without prejudice to any other rights or remedies available to us.
- You shall not withhold, set off, or deduct any amounts from payments due to us unless required by law or expressly agreed in writing by us.
- Any estimates or quotations are valid only for the period specified in them or, if no period is specified, for a reasonable period determined by us.
If you request changes outside the agreed scope, additional fees may apply. Rush fees, overtime charges, rework outside the included revision allowance, third-party costs, and licensing fees may also be charged separately where applicable.
Late payments may result in interest and recovery costs to the extent permitted by applicable law. Any reasonable costs incurred by us in collecting overdue amounts may also be charged to you.
5. Cancellation and refund policy
Either party may cancel a project in accordance with the Project Agreement or, if none is stated, by providing reasonable written notice. Cancellation does not affect any accrued rights or obligations, including payment for work performed, committed third-party costs, reserved resource time, or non-cancellable expenses.
Unless expressly agreed otherwise in writing, deposits and advance payments are non-refundable to the extent they cover work already performed, planning, scheduling, resource reservation, or non-recoverable costs.
Where a refund is due under a Project Agreement or as required by applicable law, any refund will be limited to the unused portion of fees actually paid, less any amounts due for work completed, costs incurred, and expenses committed before cancellation.
We reserve the right to terminate or suspend services immediately if you materially breach these Terms, provide unlawful materials, fail to pay any amount due, or otherwise act in a manner that materially interferes with our ability to perform the services.
6. Liability limitations
To the maximum extent permitted by applicable law, Northlight VFX Studio Ltd shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive losses or damages, including without limitation loss of profit, loss of revenue, loss of opportunity, loss of goodwill, business interruption, or loss of data, arising from or in connection with the services or these Terms.
To the maximum extent permitted by applicable law, our total aggregate liability arising out of or in connection with the services, whether in contract, tort, negligence, misrepresentation, restitution, or otherwise, shall be limited to the total fees actually paid by you to us for the specific project giving rise to the claim.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.
We do not guarantee that any creative outcome will meet subjective expectations, achieve any specific commercial result, or be suitable for a particular broadcast, distribution, or platform unless expressly warranted in writing in the Project Agreement.
7. Intellectual property rights
Unless otherwise agreed in writing, all pre-existing intellectual property rights in materials, tools, workflows, templates, methodologies, software, know-how, and techniques used or developed by Northlight VFX Studio Ltd remain our property or the property of our licensors.
Subject to full payment of all applicable fees and compliance with these Terms and the Project Agreement, ownership or licence rights in final deliverables shall be transferred or granted only to the extent expressly stated in the Project Agreement. If no transfer or licence is specified, no ownership rights are granted except as necessary for you to use the deliverables for the agreed purpose.
You warrant that any materials you provide do not infringe third-party rights and that you have all necessary permissions for our use of those materials in performing the services.
We may, unless otherwise agreed in writing, retain copies of project files, renders, previews, and deliverables for archival, portfolio, audit, quality control, and legal compliance purposes. Any public use of project materials by us, including portfolio or showreel use, will be subject to confidentiality obligations and any agreed restrictions.
8. Data protection and privacy
We will process personal data in connection with the provision of services in accordance with applicable data protection and privacy laws. Personal data may include contact details, billing details, project correspondence, access credentials, and other information necessary to deliver the services.
We will use personal data for legitimate business purposes such as contract performance, invoicing, project management, quality assurance, legal compliance, and communication with you. Where required, we may also process personal data to protect our legitimate interests and to comply with legal obligations.
You are responsible for ensuring that any personal data you provide to us has been collected and shared lawfully and that you have provided any required notices or obtained any necessary consents.
We may engage trusted service providers or subcontractors to support the delivery of services, subject to appropriate confidentiality and data protection obligations.
For any privacy-related questions, please contact us using the contact details in Section 12.
9. Force majeure
Northlight VFX Studio Ltd shall not be liable for any delay or failure to perform its obligations to the extent caused by an event beyond our reasonable control, including but not limited to acts of God, fire, flood, epidemic, pandemic, war, terrorism, civil unrest, government action, labour disputes, power failures, internet outages, equipment failure, cyber incidents, or the failure of third-party suppliers or platforms.
If a force majeure event occurs, the affected obligations will be suspended for the duration of the event. We will use reasonable efforts to mitigate the effects and resume performance as soon as reasonably practicable.
10. Changes to terms
We may update or modify these Terms from time to time. The updated version will take effect when posted, communicated, or otherwise made available to you, unless a later effective date is stated.
Continued use of our services after any change becomes effective constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you should cease using our services and notify us in writing.
11. Applicable law and jurisdiction
These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales, unless otherwise required by mandatory applicable law.
Subject to any mandatory rights of consumers or other parties under applicable law, the courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms, the services, or any Project Agreement.

The remaining provisions shall continue in full force and effect. Any failure or delay by us in exercising any right or remedy under these Terms shall not constitute a waiver of that right or remedy.
